1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Cloud Telematics W.L.L. ("Company," "we," "our," or "us") regarding your use of our vehicle tracking and fleet management services, software, and related products.
By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access or use our services.
2. Description of Services
Cloud Telematics provides comprehensive vehicle tracking and fleet management solutions including:
- Real-time GPS tracking and location services
- Vehicle diagnostics and maintenance monitoring
- Driver behavior analysis and reporting
- Route optimization and geofencing
- Fleet management software and mobile applications
- Hardware devices and installation services
- Data analytics and custom reporting
3. User Accounts and Registration
To access our services, you must:
- Provide accurate, current, and complete registration information
- Maintain and update your account information
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized account access
- Accept responsibility for all activities under your account
4. Service Plans and Pricing
Our services are offered through various subscription plans with different features and pricing. Current pricing is available on our website and subject to change with notice. You agree to:
- Pay all fees associated with your chosen service plan
- Provide valid payment information and authorize recurring charges
- Pay any applicable taxes, duties, or fees
- Accept that price changes will be communicated 30 days in advance
5. Acceptable Use Policy
You agree to use our services only for lawful purposes and in accordance with these Terms. You shall not:
- Use services to violate any laws, regulations, or third-party rights
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt our services or servers
- Use our services to track vehicles without proper authorization
- Share, sell, or transfer your account access to unauthorized parties
- Reverse engineer, modify, or create derivative works of our software
- Use our services for competitive analysis or benchmarking
6. Data Ownership and Privacy
You retain ownership of all data you provide to our services. We collect and process data in accordance with our Privacy Policy. You grant us a license to use your data to provide services, generate analytics, and improve our offerings. We will:
- Implement appropriate security measures to protect your data
- Use data only as necessary to provide services
- Not sell or share your data with unauthorized third parties
- Comply with applicable data protection laws and regulations
7. Service Availability and Support
We strive to maintain high service availability but cannot guarantee uninterrupted service. We provide:
- 24/7 monitoring of our systems and services
- Technical support during business hours (Sunday-Thursday, 8 AM-5 PM Qatar time)
- Emergency support for critical issues
- Regular maintenance windows with advance notice
- Service level agreements as specified in your service plan
8. Hardware and Equipment
For services requiring hardware devices:
- Hardware remains our property unless explicitly purchased
- You are responsible for device care and protection
- Lost or damaged devices may incur replacement fees
- Devices must be returned upon service termination
- We provide warranty coverage as specified in device documentation
9. Limitation of Liability
To the maximum extent permitted by law, Cloud Telematics shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Service interruptions or data transmission errors
- Third-party actions or content
- Force majeure events beyond our reasonable control
Our total liability shall not exceed the amount paid by you for services in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Cloud Telematics from any claims, damages, or expenses arising from:
- Your use of our services in violation of these Terms
- Your violation of applicable laws or third-party rights
- Unauthorized use of vehicles or tracking without proper consent
- Your negligence or willful misconduct
11. Term and Termination
These Terms remain in effect while you use our services. Either party may terminate:
- With 30 days written notice for convenience
- Immediately for material breach of Terms
- Immediately for non-payment of fees
Upon termination, you must cease using our services, return any hardware, and we may delete your data after a reasonable retention period.
12. Governing Law and Disputes
These Terms are governed by the laws of Qatar. Any disputes shall be resolved through:
- Good faith negotiations between the parties
- Mediation if negotiations fail
- Arbitration under Qatar International Court rules
- Qatar courts for matters not subject to arbitration
13. Changes to Terms
We may modify these Terms periodically. We will provide notice of material changes through:
- Email notification to your registered address
- Prominent notices in our services or website
- Updated "last modified" date on this page
Continued use of our services after changes constitutes acceptance of the updated Terms.
14. General Provisions
These Terms constitute the entire agreement between you and Cloud Telematics regarding our services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision does not waive our right to enforce it later.
